Agreement and scope

These Terms of Service govern the relationship between Bravionexal LLC and any client or user who engages with our website, requests a proposal, or retains our professional services. By using the website or entering into a written engagement with Bravionexal, you accept these terms and any project-specific engagement letter or statement of work that references them. An engagement letter overrides these Terms only to the extent it explicitly states so. Our services are delivered according to the defined scope, timeline, and fees in the engagement letter. We aim to be practical, delivering analyses and artifacts that clarify activity flows, measurement approaches, and a prioritized roadmap. The work product is intended to inform client decision-making; we do not guarantee specific business outcomes beyond what is expressly set out in the engagement scope. Clients retain responsibility for implementing recommended changes and for decisions that follow from our analyses. If you do not agree to these Terms, do not use the website or accept our engagement letter. These Terms form the baseline legal framework for confidentiality, use of deliverables, limitations of liability, and dispute resolution referenced throughout this document.

Services, deliverables, and client responsibilities

Bravionexal offers services including business activity mapping, business activity monitoring design, KPI definition, scenario-based business impact analysis, and governance and roadmap development. Each engagement is scoped in a written statement of work that describes deliverables, timelines, acceptance criteria, assumptions, and fees. Deliverables may include models, dashboards, slide decks, templates, and governance artifacts. We use client data and stakeholder input to build these deliverables; clients agree to provide timely access to necessary information, subject matter experts, and data feeds, and to designate an internal owner for coordination. The accuracy and completeness of our analysis depend on the quality and timeliness of client-provided information; Bravionexal is not responsible for outcomes caused by incomplete or inaccurate data supplied by the client. Unless otherwise stated, deliverables are provided in electronic formats suitable for client use. If a client requests additional work that falls outside the agreed scope, Bravionexal will propose a change order describing scope, price, and schedule adjustments. Acceptance of deliverables is confirmed by the client within the timeframe stated in the engagement, or otherwise by use of the deliverable in production or operational settings.

Confidentiality, intellectual property, and use of results

We treat client information as confidential. Bravionexal will protect nonpublic information received from the client and will not disclose it except as necessary to perform the engagement, to our service providers subject to confidentiality obligations, or as required by law. We are willing to enter a reasonable non-disclosure agreement before deep diagnostic work. Intellectual property rights in pre-existing materials and tools used by Bravionexal remain with Bravionexal. Unless otherwise agreed, the client receives a license to use deliverables for its internal business purposes. If deliverables incorporate third-party licensed tools or datasets, their use is subject to the third-party terms. Bravionexal may anonymize and aggregate engagement outcomes for internal improvement and non-identifying case references in marketing materials. Clients may request that Bravionexal not reference the engagement publicly; we will generally respect such requests subject to prior written agreement. Any reuse or redistribution of deliverables beyond the licensed scope requires Bravionexal’s prior written consent and may require an additional license or fee.

Fees, payment terms, liability, and indemnity

Fees and payment terms are set out in the engagement letter. Unless otherwise agreed, invoices are payable within thirty days of receipt. Bravionexal may suspend work for overdue payments following reasonable notice. All fees are exclusive of applicable taxes, which will be charged where required. To the extent permitted by law, Bravionexal’s total liability for direct damages arising from or in connection with the services or deliverables is limited to the fees paid for the specific engagement during the twelve months preceding the claim. In no event will Bravionexal be liable for indirect, consequential, special, or punitive damages, including lost profits or business interruption. The client will indemnify Bravionexal against third-party claims arising from client-provided data that infringes third-party rights or from the client’s misuse of deliverables. These limitations apply even if any remedy fails of its essential purpose. If a dispute arises, both parties agree to attempt to resolve it first through good-faith negotiation. If unresolved, the dispute will be settled under the governing law specified in the engagement; parties may pursue injunctive relief where necessary to protect confidential information or intellectual property.

Governing law, changes, and contact

These Terms are governed by the laws specified in the engagement letter. If the engagement letter does not specify governing law, these Terms are governed by the laws of the District of Columbia, USA, without regard to conflict-of-law provisions. We may update these Terms from time to time; material changes will be posted on this page and will apply to future engagements.
